1. Agreement to Terms
These Terms of Use ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("You") and SaferRoads Driving School (referred to as "Company," "We," "Us," or "Our"), concerning your access to and use of the www.saferroads.ca website, mobile applications, and any other associated digital platforms, media forms, or media channels (collectively, the "Platform"). These Terms also govern your enrollment in and use of our instructional services (the "Services"). We are registered in Province of Ontario and have our principal place of business in Ottawa, Ontario. You agree that by accessing the Platform or utilizing the Services, you have read, understood, and agreed to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM AND SERVICES, AND YOU MUST DISCONTINUE USE IMMEDIATELY.
2. Modifications and Updates
Supplemental terms and conditions or documents that may be posted on the Platform or provided in connection with the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms of Use, and you waive any right to receive specific notice of each such change. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Platform or Services after the date such revised Terms of Use are posted.
3. Governing Law and Geographic Restrictions
The information provided on the Platform is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Accordingly, those persons who choose to access the Platform or enroll in the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
4. User Representations and Minors
The Services are intended for users who are seeking to obtain driver instruction, generally starting from the minimum age required for a learner's permit in the relevant jurisdiction. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Services. If you are a minor, you must have your parent or guardian read and agree to these Terms of Use prior to you using the Services.
By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity and you agree to comply with these Terms of Use; (4) you are not a minor, or if you are a minor, you have received parental permission to use the Services; (5) your use of the Services will not violate any applicable law or regulation.
5. User Accounts and Registration
- 5.1. Account Security: You are responsible for maintaining the confidentiality of your password and will be responsible for all use of your account.
- 5.2. Accuracy of Information: You agree to provide current, complete, and accurate registration information and promptly update it. If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any current or future use of the Platform and Services.
6. Prohibited Activities
You may not access or use the Platform or Services for any purpose other than that for which we make them available. Prohibited activities include, but are not limited to:
- Systematically retrieving data from the Platform to create a compilation or database without written permission
- Making any unauthorized use of the Services, including collecting usernames and/or email addresses for unsolicited email
- Interfering with, disrupting, or creating an undue burden on the Platform or connected networks
- Attempting to impersonate another user or person
- Harassing, annoying, intimidating, or threatening any employees, instructors, or agents
- Using the Platform or Services inconsistent with any applicable laws or regulations
7. Intellectual Property Rights
7.1. Our Content: The Platform and Services (including all course materials, videos, text, graphics, and logos) are Our proprietary property and all intellectual property rights therein are reserved to Us.
7.2. Limited License: You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform strictly for the purpose of receiving the Services.
7.3. No Reproduction: No part of the Platform or Services may be copied, reproduced, or otherwise exploited for any commercial purpose whatsoever without Our express prior written permission.
8. Disclaimers
The Platform and Services are furnished to you "as is" and "as available." Your utilization of the Platform and Services is undertaken at your exclusive risk. We disclaim all warranties, express or implied. We will assume no liability or responsibility for:
- Errors, mistakes, or inaccuracies of content and materials
- Personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the Services
- Any interruption or cessation of transmission to or from the Platform or Services
- Any failure to achieve a passing grade on any government-issued road test
9. Limitation of Liability
IN NO EVENT WILL WE, OUR DIRECTORS, EMPLOYEES, BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Term and Termination
10.1. Term: These Terms of Use shall remain in full force and effect while you are a user of the Platform or Services.
10.2. Our Right to Terminate: WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF USE, WE RESERVE THE RIGHT, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, TO DENY ACCESS TO AND USE OF THE PLATFORM AND SERVICES TO ANY PERSON FOR ANY REASON.
10.3. Consequences of Termination: If We terminate or suspend your account or access for any reason, you are expressly prohibited from registering and creating a new account under your name, a false or borrowed name, or the name of any third party.
11. Governing Law and Dispute Resolution
These Terms of Use and your use of the Platform and the Services are governed by and shall be defined following the laws of the Province of Ontario and the federal laws of Canada, applicable therein, without regard to its conflict of law principles. SaferRoads Driving School and You irrevocably consent that the courts located in Ottawa, Ontario shall have exclusive jurisdiction to resolve any dispute or claim which may arise in connection with these Terms or the Services provided hereunder.
12. Indemnification
You agree to defend, indemnify, and hold Us harmless, including Our subsidiaries, affiliates, and all of Our respective officers, instructors, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:
- Your use of the Services or the Platform
- Breach of these Terms of Use
- Any breach of your representations and warranties set forth in these Terms of Use
- Your violation of the rights of a third party
- Any overtly harmful act toward any other user of the Platform or the Services
13. Privacy Policy
Data privacy and security are of paramount importance to Us. By utilizing the Platform and Services, you acknowledge and agree to be bound by Our Privacy Policy, which is publicly posted on the Platform at https://www.saferroads.ca/privacy and is hereby incorporated into these Terms of Use by reference.
